  • Represented Golden Gate Capital, a leading private equity firm with US$9 billion in capital under management, in its acquisition of the CedarCrestone Group, Inc. and its Indian subsidiary, a recognized leader in providing software solutions.
  • Represented Avista Capital Holdings, LP, a leading global private equity firm, in its bid to acquire the capsugel division of Pfizer India.
  • Represented Infrastructure Leasing & Financial Services Ltd., one of India's leading infrastructure development and finance companies, in its US$20,000,000 subscription of equity shares issued by Dighi Port Limited, and its INR250,000,000 funding of EBS Worldwide Services Private Limited (“EBS”), and subsequent acquisition of IMG, a Delaware company, by EBS.
  • Represented Reliance Venture Asset Management Limited, an investment arm of the Reliance – Anil Dhirubhai Ambani Group, one of India’s top three private sector business houses on all major financial parameters, for its Series A investment of US$12,000,000 in AllGreen Energy India Private Limited.
  • Advised SKS Microfinance Limited, one of the largest microfinance companies in the world, on the proposed issue of compulsorily convertible debentures and the issue of equity shares for an aggregate amount of INR281,330,700, to Catamaran Fund 1-A and Catamaran Fund 1-B (trusts registered under the Indian Trusts Act, 1882, and promoted by N.R. Narayanmurthy (Chief Mentor of Infosys Technologies Limited)).  Also, assisted SKS Microfinance Limited in the sale of its equity shares to Tree Line Asia Master Fund (Singapore) Pte Ltd, Singapore, for an aggregate total amount of INR348,604,200. 
  • Represented SKS Microfinance Limited, in its fourth round of financing of US$75,000,000 by, among others, Sandstone Partners.
  • Represented Hellman & Friedman LLC, one of the largest funds in the world, in its bid to acquire Lehman Brothers’ infrastructure advisory and asset management business. 
  • Advised Voyager India Fund, in relation to its proposed investment in ACME Telepower, a large Indian telecom infrastructure company.
  • Represented Paul Capital Advisors in its investment in Glenmark Pharmaceuticals, Inc., which was guaranteed by Glenmark Pharmaceuticals Ltd., a first of its kind transaction in India.  Also assisted Paul Capital Advisors in another similar transaction. 
  • Represented IMI Mobile Ltd., a cellular services company based in Hyderabad, India, in its private equity transaction with Pequot India Mauritius IV Ltd.
  • Represented Skyterra Communications, Inc. (Apollo Management L.P.) in its acquisition of DirectTV Group, Inc.’s Indian subsidiary, namely, Hughes Network Systems, one of the largest global private equity deals in the satellite communications space.
  • Represented Classic Stripes Private Limited in its envisaged private equity transaction with Ivy Lane Capital.
  • Represented Towerbrook Capital Partners (a London-based private equity house) in its envisaged acquisition of the Lustran Polymer business unit of LANEXESS Deutschland GmbH and its Indian subsidiary. 
  • Advised Wellspring Capital L.P. on Indian laws applicable to the acquisition of the Indian operations of Reilly Industries.
  • Represented Encore Operating Partners, Mauritius, and 1886 Investments Ltd., the investment arm of the Commonwealth Education Trust, UK, in acquiring a 38% stake in the Bangalore-based start-up, Global ITeS Pvt. Ltd, which develops technology solutions for the education space.
  • Represented Cellworks Research India Private Limited, a Bangalore-based wholly owned subsidiary of Cellworks Group Inc., a life sciences technology company, in its first round financing aggregating to US$6,000,000 by Artiman Ventures. 
  • Representing Nowon Technologies Private Limited, a Bangalore-based software development company, in a proposed INR150,000,000 (approximately US$6,000,000) investment by a Delhi- based company. 
  • Represented Spruce Street Investments in its investment in Digital Imaging, a Bangalore-based company.
  • Assisting Plexus Capital Ventures in setting up a domestic venture capital fund to invest in high-growth Indian unlisted companies in the renewable energy and agro-processing spaces.
  • Advised Grand Trunk Capital Management, L.P. on the tax aspects of its India fund structure and modified the PPM accordingly.
  • Advised Credit Suisse on its carry and compensation structures for senior Indian executives participating in its proprietary funds. 
  • Advised Citigroup on its carry and compensation structures for senior Indian executives participating in its private equity fund.
  • Advised Granite Hill Capital Partners, a US-based fund, on the Indian law aspects of fund formation and SEBI FVCI registration.
  • Advised Apax Partners on Indian law matters in establishing its India fund.
  • Advised Drayton Capital, an Indian investment fund, in structuring its offshore wine fund.
  • Advised AQR Capital Management, LLC, on Indian tax and securities law matters associated with investments by FIIs in India.
  • Advising Grand Trunk Capital Management, LP, a US-based investment manager that manages India focused investment strategies, on its proposal to register one of its Mauritius-based funds as an FII in India.
  • Represented Millennium Partners, LP and advised them on Indian securities, banking, money laundering and related laws applicable to their Indian FII.
  • Advised Microvest Capital Management LLC, a capital-mobilizing intermediary for microfinance institutions, on registration as a foreign institutional investor with the SEBI, permissible investments in corporate debt, and related Indian law and tax issues.
  • Advised Federated Investors, Inc., on permissible investments under Indian law by foreign institutional investors, and related tax implications.
  • Advised Scion Capital, LLC, a US-fund, seeking to register itself as an FII in India.
  • Represented Olympus Funds Management Pty Limited, a major Asia-focused investment fund in Australia, in its registration as an FII with the SEBI, and advised on applicable securities and investment laws. 
  • Representing the Black Ant Group, a large UK-based private equity fund, in its registration as a FVCI and FII with the SEBI. 
  • Advised Avtar Investment Management Limited, an India-focused investment advisor based in Mauritius, on regulatory aspects pertaining to FII registration with the SEBI, and also responded to various queries of the regulator.
  • Advised Amaprop Ltd., a fund managed by US-based Amaranth Advisors LLC, in its dispute with a leading Indian realty developer regarding certain share transfer rights and restrictions in the shareholders agreement. 
  • Advised the LIC Mutual Fund on amendments to the SEBI Mutual Funds Regulations, provisions of the Indian Trusts Act, and the setting-up of an investment scheme.
  • Advised the Lotus India Fund on SEBI Mutual Funds Regulations applicable to new schemes.
